Welcome to Contextify. These Terms of Service (“Terms”) govern your access to and use of the Contextify browser extension, web application, and related services (collectively, the “Service”). Please read these Terms carefully before using our Service.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, installing the browser extension, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and the organization.

2. Description of Service

Contextify is an AI-powered content generation platform that provides:

  • Browser Extension: A Chrome extension that enables users to extract web content, build context, and generate AI-powered content directly from any webpage.
  • Context Management: Tools to create and manage personas, offerings, examples, constraints, and knowledge bases that inform content generation.
  • AI Content Generation: Integration with large language models (LLMs) to generate content tailored to various platforms and purposes.
  • Web Dashboard: A web application for managing your account, subscription, and settings.

3. Eligibility

To use the Service, you must:

  • Be at least 16 years of age
  • Have the legal capacity to enter into these Terms
  • Not be prohibited from using the Service under applicable laws
  • Not have been previously suspended or removed from the Service

If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

4. User Accounts

4.1 Account Creation

You must create an account to use certain features of the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.

4.3 Account Termination

You may terminate your account at any time by contacting us at support@contextify.pro. We may suspend or terminate your account if you violate these Terms or for any other reason at our sole discretion.

5. Subscription and Payments

5.1 Subscription Plans

The Service offers subscription plans with different features and usage limits. Current pricing and plan details are available on our website. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

5.2 Usage-Based Billing

Certain plans include usage-based billing for AI content generation. Usage is measured in tokens (a unit of text processing). Costs vary by the AI model selected. You can set spending limits to control your usage costs.

5.3 Payment Terms

  • All fees are charged in US dollars and are non-refundable unless otherwise stated
  • Subscriptions renew automatically unless canceled before the renewal date
  • We use Stripe for payment processing. By providing payment information, you authorize us to charge your payment method
  • You are responsible for all applicable taxes
  • Failed payments may result in suspension of your account

5.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of your billing period. No partial refunds are provided for unused portions of a billing period.

5.5 Spending Limits

You can set monthly spending limits to control usage-based charges. When your limit is reached, the Service will prevent additional usage until the next billing period or until you increase your limit. You are responsible for configuring appropriate spending limits.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
  • Generate content that infringes on intellectual property rights, privacy rights, or other rights of any party
  • Impersonate any person or entity, or misrepresent your affiliation
  • Distribute malware, spam, or engage in phishing or other deceptive practices
  • Attempt to gain unauthorized access to the Service or other systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Reverse engineer, decompile, or disassemble any part of the Service except as permitted by law
  • Use the Service to compete with Contextify or build a similar product
  • Share your account credentials or allow others to access your account
  • Circumvent any usage limits, rate limits, or security measures
  • Generate content that violates the acceptable use policies of third-party platforms where you intend to post it

7. Content and Intellectual Property

7.1 Your Content

You retain ownership of all content you create, upload, or input into the Service (“User Content”). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely to provide and improve the Service.

7.2 Generated Content

Content generated by the AI (“Generated Content”) is provided to you for your use. You are responsible for:

  • Reviewing and editing Generated Content before using it
  • Ensuring Generated Content complies with applicable laws and platform policies
  • Any consequences arising from your use of Generated Content
  • Not representing Generated Content as original human-created work where such representation would be deceptive or required by law

7.3 Our Intellectual Property

The Service, including its design, features, code, and content (excluding User Content and Generated Content), is owned by Contextify and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our intellectual property without our written permission.

7.4 Feedback

If you provide us with feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation to you.

8. AI-Generated Content Limitations

You acknowledge and agree that:

  • No Guarantee of Accuracy: AI-generated content may contain errors, inaccuracies, or inappropriate material. You must review all content before use.
  • No Professional Advice: Generated content does not constitute legal, financial, medical, or other professional advice. Consult qualified professionals for such matters.
  • Platform Compliance: You are responsible for ensuring content complies with the terms of service of platforms where you post it.
  • Third-Party AI Providers: Content generation relies on third-party AI providers (OpenRouter, OpenAI) whose availability and capabilities may change.
  • Non-Unique Output: Similar inputs may produce similar or identical outputs for different users. Generated content is not guaranteed to be unique.

9. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.

10. Third-Party Services

The Service integrates with and relies on third-party services:

  • LLM Providers: OpenRouter and OpenAI for content generation
  • Payment Processing: Stripe for payment handling
  • Authentication: Firebase and Google for user authentication
  • Hosting: Google Cloud for data storage and processing

These third-party services have their own terms of service and privacy policies. We are not responsible for their practices or availability. Changes to these services may affect the Service's functionality.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of the Service or Generated Content
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the results obtained from using the Service

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTEXTIFY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses
  • Any damages arising from your use or inability to use the Service
  • Any damages arising from Generated Content or your reliance on it
  • Any damages arising from unauthorized access to or alteration of your data
  • Any damages arising from third-party services or content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Contextify, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your User Content or Generated Content
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any claim that your User Content caused damage to a third party

14. Modifications to the Service and Terms

14.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance.

14.2 Terms Modifications

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the “Last Updated” date. For significant changes, we may also notify you by email. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

15. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including:

  • Violation of these Terms
  • Conduct that we determine is harmful to other users, third parties, or our business
  • Non-payment of fees
  • Upon your request

Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership, disclaimers, indemnification, and limitations of liability.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

16.2 Dispute Resolution

Any dispute arising from these Terms or the Service shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

16.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Contextify regarding the Service.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, or shortages.
